What a business broker does.

A business broker sells companies, not buildings. We value the business on its real earnings, prepare it for buyers, market it without naming it, screen every buyer for funding, negotiate the deal and manage it through due diligence and closing. Who we work with

Most of our work is with owners of medical and wellness businesses: med spas, clinics, dental and specialty practices, surgical centers, pharmacies and longevity clinics. We also represent restaurants, salons, professional services, distribution companies and other owner run businesses across South Florida.

How a sale works, step by step

  1. First conversation. We learn what you own, what you want out of a sale and when. Nothing is signed and nothing is shared.
  2. Valuation. We recast your financials the way a buyer and lender will read them and give you a range with the reasoning behind it. How valuation works.
  3. Listing agreement and package. If you decide to go ahead, we sign a listing agreement and build a confidential memorandum that answers buyer questions before they are asked.
  4. Confidential marketing. A blind profile goes to our buyer network, the Business Brokers of Florida listing service and targeted buyers. No one learns the name until they sign an NDA.
  5. Buyer screening. Each buyer shows how they will pay before they see your financials. You spend time only with people who can close.
  6. Offers and letter of intent. We negotiate price and terms, including any seller financing, and put the agreement in a letter of intent.
  7. Due diligence and closing. The buyer verifies the numbers, the lender underwrites, the lease is assigned and licenses move. We keep it on track until the closing table.

How fees work

Most business brokers are paid mainly through a success fee at closing, figured as a share of the sale price. If the business does not sell, that fee is not earned. Some brokers also charge a smaller fee up front for the valuation and the marketing package, and many set a minimum fee for smaller deals.

Fees depend on the size and complexity of the deal and on whether real estate is part of it. We explain ours in writing before you sign anything, and you can ask any question about it you want. A broker who will not explain the fee clearly is a good broker to avoid.

What a broker does that you cannot easily do yourself

  • Keeps the sale confidential while still reaching enough buyers to create competition.
  • Filters out buyers who cannot fund the deal before they see your numbers.
  • Prices on documented earnings, so the number survives the buyer's due diligence.
  • Handles the lease, the landlord, the lender and the licenses so you can keep running the business.
  • Stands between you and the buyer in negotiation, so you do not have to.

Why the real estate license matters

What we need from you

A sale goes best when the owner is honest with us early. Tell us about anything a buyer will find in due diligence: a lease issue, a key employee who may leave, a dispute, a slow year. Problems found late cost more than problems disclosed early. We also need your time for a few weeks up front to gather the financials, and then short, regular check ins while you keep running the business at full strength, because a dip in results during the sale can change the price.
